These Terms and Conditions ("Terms") constitute a legally binding agreement between you and MicMatchMe (Pty) Ltd ("MicMatchMe", "we", "us", or "our") governing your access to and use of the MicMatchMe platform, website, and related services (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

To use MicMatchMe, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using our services under applicable law
• Provide accurate and complete registration information
• Comply with these Terms and all applicable laws and regulations

By using the Platform, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service, terminate accounts, or cancel bookings at our discretion.

MicMatchMe provides a platform that connects:

• Speakers: Professionals seeking speaking opportunities at events, conferences, and podcasts
• Podcasters: Podcast hosts seeking guests for their shows
• Event Organizers: Organizations seeking speakers for their events

Our services include profile creation, opportunity matching, booking management, communication tools, and related features. MicMatchMe acts as an intermediary platform and is not a party to any agreements between users.

4.1 Account Creation

You must create an account to access most features of the Platform. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

4.3 Account Termination

You may delete your account at any time. We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

5.1 Speakers

Speakers agree to:

• Provide accurate information about their expertise, experience, and availability
• Respond to booking inquiries in a timely manner
• Honor confirmed bookings or provide reasonable notice of cancellation
• Deliver professional services as agreed with organizers/podcasters

5.2 Podcasters

Podcasters agree to:

• Provide accurate information about their podcast and audience
• Communicate clearly about episode topics and requirements
• Respect agreed scheduling and recording commitments
• Provide guests with reasonable production support

5.3 Event Organizers

Event Organizers agree to:

• Provide accurate event details and requirements
• Honor agreed fees and payment terms
• Communicate any changes to events promptly
• Provide speakers with necessary logistics and support

6.1 Matching Services

MicMatchMe provides AI-powered matching to suggest compatible speakers and opportunities. Match scores and recommendations are provided as guidance only and do not guarantee suitability or successful bookings.

6.2 Booking Process

Bookings are made directly between users through the Platform. A booking is confirmed when both parties have agreed to the terms. MicMatchMe is not a party to any booking agreement and is not responsible for disputes between users.

6.3 Cancellations

Cancellation policies are agreed between the parties. We encourage users to establish clear cancellation terms before confirming bookings. Repeated cancellations may result in account restrictions.

7.1 Direct Payments

Payments for speaking engagements and services are made directly between users. MicMatchMe does not process payments on behalf of users or hold funds in escrow.

7.2 Platform Fees

MicMatchMe may charge fees for certain premium features or services. Any applicable fees will be clearly disclosed before you incur them.

7.3 Taxes

Users are responsible for determining and fulfilling their own tax obligations, including VAT registration and payment of income taxes on earnings.

8.1 Your Content

You retain ownership of content you upload to the Platform, including profile information, biographies, photos, videos, and other materials ("User Content").

8.2 License to MicMatchMe

By uploading User Content, you grant MicMatchMe a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content as necessary to provide our services and promote the Platform.

8.3 Content Standards

You agree that your User Content will not:

• Infringe any third-party intellectual property rights
• Contain false, misleading, or defamatory information
• Violate any applicable laws or regulations
• Contain harmful, offensive, or inappropriate material

You agree not to:

• Use the Platform for any unlawful purpose
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Platform or servers
• Attempt to gain unauthorized access to any portion of the Platform
• Use automated systems or software to extract data from the Platform
• Harass, abuse, or harm other users
• Send spam or unsolicited communications
• Circumvent any measures we use to prevent or restrict access
• Use the Platform to compete with MicMatchMe
• Violate any applicable laws, regulations, or third-party rights

The Platform, including its original content, features, and functionality, is owned by MicMatchMe and is protected by international copyright, trademark, and other intellectual property laws.

The MicMatchMe name, logo, and related marks are trademarks of MicMatchMe (Pty) Ltd. You may not use these marks without our prior written consent.

MicMatchMe does not endorse, verify, or guarantee the qualifications, identity, or reliability of any user. You are solely responsible for evaluating and verifying the suitability of any speaker, podcaster, or organizer.

To the maximum extent permitted by South African law, MicMatchMe shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Any damages arising from your use of or inability to use the Platform
• Any conduct or content of third parties on the Platform
• Disputes between users

Our total liability to you for any claims arising from these Terms or your use of the Platform shall not exceed the amount you paid to MicMatchMe, if any, in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless MicMatchMe, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content
• Any disputes with other users

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Platform will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.

Any legal proceedings arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the courts of South Africa, and you consent to the personal jurisdiction of such courts.

In the event of any dispute arising from these Terms or your use of the Platform, we encourage you to first contact us to attempt to resolve the dispute informally.

If informal resolution is unsuccessful, either party may pursue mediation or arbitration before initiating formal legal proceedings. Any arbitration shall be conducted in accordance with the Arbitration Act 42 of 1965.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice before new terms take effect.

By continuing to access or use the Platform after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Platform.
